Fort Wayne, Ind. – Heritage Food Service Group Inc. today announced that it has reached agreement to acquire R.G. Henderson & Son, Ltd. of Toronto, Canada, for an undisclosed amount.

Founded in 1896, R.G. Henderson is today the largest Food Equipment Repair and OEM Parts Distributor in the Ontario region of Canada.

“This acquisition will position Heritage to accelerate its expansion into the Canadian market,” said John T. McDonough, CEO of Heritage Food Service Group, Inc. “We are very pleased to be partnering with the most respected aftermarket service and OEM parts provider in the Canadian space. The clear opportunity is to build upon the respective strengths of both businesses to create a new whole in Canada that is greater than the sum of its individual parts,” he continued.

“We, too, are pleased and excited to be joining the Heritage team,” said Rick Blum, President and CEO of R.G. Henderson & Son Ltd. “We see great opportunities ahead for the new business. A foundational excellence in aftermarket service will be complemented by a tremendous opportunity, in partnership with Heritage, to expand our combined OEM parts distribution footprint in Canada,” he added

Heritage and R.G. Henderson expect to complete the transaction within the next two weeks.
